**Barrick–Kingfisher: C$20.9M for 9.9%**
On July 21, 2026, Barrick Mining Corporation announced it would subscribe for 15,470,934 units of Kingfisher Metals Corp. at C$1.35 per unit, for total consideration of approximately C$20,885,761, per the company's news release on StockTitan. Each unit comprises one common share and one-half of a warrant exercisable at C$1.70 for two years. Following closing, Barrick will hold approximately 9.9% of Kingfisher on a non-diluted basis and 14.1% on a partially-diluted basis assuming full warrant exercise. Kingfisher had 103,057,272 shares outstanding prior to the transaction.
The placement carries significant governance strings. Barrick receives an 18-month lockup on its shares, anti-dilution and information rights so long as it holds at least 5%, and a two-year standstill generally capping its ownership at 15% — extendable to 19.9% under specified circumstances. Kingfisher cannot sell any interest in its Highway 37 Project in British Columbia for two years without Barrick's consent. The two companies will form a technical committee, and Barrick will provide technical support for Kingfisher's 2027 and 2028 drilling seasons at Highway 37 upon request.
Barrick's C$20.9M contribution pushes Kingfisher's post-closing cash position to approximately C$47 million, per the release, with at least 80% of proceeds directed to the HWY-37 copper-gold project in BC's Golden Triangle. The funds support a 15,000-metre diamond-drilling campaign across three rigs, targeting expansion of the Hank porphyry Cu-Au discovery and testing the Turquoise and Rainbow targets, alongside IP, MMT, LiDAR, mapping, and geochemistry on regional targets. The HWY-37 and Forrest Kerr projects cover approximately 933 km² and 202 km², respectively. The transaction was expected to close on or before July 27, 2026, subject to regulatory approvals.
**Kinross–AbraSilver: Participation Rights Exercised at C$14.70**
On July 29, 2026, AbraSilver Resource Corp. announced the closing of a bought deal public offering of 3,401,000 common shares at C$14.70 per share for aggregate gross proceeds of C$49,994,700, per AbraSilver's GlobeNewswire release. Concurrent with that offering, Kinross Gold Corporation exercised participation rights it holds under a prior investor rights agreement, subscribing for 139,241 common shares at the same C$14.70 issue price. That private placement closed July 31, 2026, generating approximately C$2,046,843 in additional gross proceeds. Combined, AbraSilver completed approximately C$52 million in recent financings.
Kinross's participation rights stem from a 2024 investment in which Kinross and Central Puerto each committed C$10 million to AbraSilver — C$20 million in aggregate — at C$0.40 per share, receiving 25,000,000 shares each and approximately 4.0% of outstanding shares on an undiluted basis at that time. Under the investor rights agreement, AbraSilver and Kinross also agreed to form a regional partnership to jointly explore for and acquire new projects in Argentina focused on silver, gold, and copper.
AbraSilver's flagship Diablillos project in Salta and Catamarca provinces holds Proven and Probable Mineral Reserves of 42.3 Mt grading 91 g/t Ag and 0.81 g/t Au, containing approximately 124 Moz silver and 1.1 Moz gold, per the company's disclosures. A Definitive Feasibility Study has been completed on the project.
